All sales made by True Knits ("Seller") to you ("Customer") are bound by the below Terms and Conditions of Sale, unless otherwise indicated by True Knits in writing.
Wholesale Account Qualification
True Knits is an apparel wholesale company manufacturing blank apparel primarily for the apparel industry, which includes, but is not limited to, screen printers, embroiderers, promotional products, and direct to garment printers.
Once the customer sets up an account, we may need additional information including but not limited to a copy of the resale certificate. Account approval process may take up to 2-3 business days.
Pricing
Prices are in US Dollars, and FOB True Knits warehouse, unless otherwise stated. All prices are subject to change without notice. All orders will be shipped at prices prevailing at the time the order is shipped.
Any price disputes should be notified to True Knits Apparel in writing within 30 days of the invoice date. Any disputes and claims brought after 30 days regarding price shall not be facilitated.
Based on demand and sale, True Knits Apparel reserves the right to change or discontinue styles, colors, sizes, fabric, and/or change packaging, without notice. Slight variances in color can occur from order to order as lot numbers vary.
Please contact your sales representative / Customer Service, or log in to your account for up-to-date pricing information, stock levels, and restock dates on any item. Prices, product availability and delivery conditions are subject to change without notice.
Payment Terms
All orders must be prepaid unless pre-approved for credit terms. We offer credit terms on orders approved by our factor. Approval process for terms may take several days; for rush orders we recommend paying by credit card.
We accept payments through all major credit cards, wire transfers, cashier's or business checks. Acceptance of checks requires prior approval from True Knits Apparel. For orders placed via email to be paid by credit card, we require a copy of the cardholder's identification and completion of the credit card authorization form, for your own protection and security.
Payment for ordered goods is due and payable pursuant to the time period/terms specified on the invoice and these Terms & Conditions. A service charge of 10% per month or the maximum permitted by law will be charged on all payments for goods not received within the number of days specified on the invoice.
Customers shall be responsible for all costs, expenses, collections agency commissions, and reasonable attorney fees that True Knits Apparel may incur in the collection of any past due invoices. True Knits Apparel, in its sole discretion, may terminate customers' accounts at any time should a breach of these terms and conditions occur.
Orders and Shipping
All orders received by 12:00 PM (PST) are usually shipped the same day, through UPS Ground. However, shipping times may vary due to high volume of orders, and/or unforeseen circumstances and factors outside our control. Bulk orders may require additional time.
There is no minimum order quantity. The quickest way to place and process orders is online at www.trueknitsapparel.com. Customers can also email us purchase orders at sales@trueknits.com.
Customers will receive an order confirmation via email once they place an order online. If you did not receive an order confirmation, we did not receive the order. Please contact True Knits Apparel if you do not receive an order confirmation. An invoice is emailed once the order ships and includes the tracking number. Customers are also able to check their order status online in their account.
Any additions to existing orders already in process will be considered a new order. Any cancellations or changes, once the order is in process or packed, is subject to a handling and restocking fee of 15%.
True Knits Apparel ships to both commercial and residential addresses and offers Free Freight programs to qualifying price tiers. True Knits Apparel will not be responsible for any shipping delays, non-delivery, damage or loss caused by the carrier during shipping. True Knits Apparel will not be responsible for shortages occurring when shipments are directed to a third party other than the customer.
Customer is responsible for all freight charges, FOB True Knits Warehouse. Ground freight costs provided during checkout or quotations are estimates, and subject to variations based on size, weight, dimensions, locations and other factors. Residential deliveries carry a surcharge unless stated otherwise.
True Knits Apparel reserves the right to choose the ship method and/or carrier for orders which qualify for Free Freight. Samples and special sales/promotional items may not qualify for free freight.
Additional carriers such as FedEx are offered; however, the online checkout system only offers UPS as the primary shipping carrier. If you wish to choose a different carrier or want to use your own UPS account, please let us know by contacting us or providing instructions in the comments section during the checkout process and/or providing clear instructions on the purchase orders. Please call and advise if you have a specific shipping preference or have an urgent request. We will do our best to accommodate your request.
Refused and unclaimed shipments or those returned due to customer error are subject to a 15% restocking fee in addition to all freight charges.
True Knits reserves the right to refuse any order at its sole discretion.
Restrictions on Sale
Customers are prohibited from selling True Knits Apparel products other than through a True Knits Apparel approved channel of distribution; violation of this condition may result in immediate termination of customer's account.
Only those customer internet sites authorized in writing by True Knits Apparel may sell and advertise True Knits Apparel products. True Knits Apparel also reserves the right to terminate True Knits Apparel products from being advertised and/or sold via the internet.
Return Policy and Claims
Complete customer satisfaction is our priority. Due to possible human error, it is the customer's responsibility to verify that the merchandise received matches what was ordered and resolve any claims with True Knits Apparel before garments are altered.
It is the customer's responsibility to inspect and test all merchandise before washing, printing, or any type of decorating. Once merchandise is altered in any way (screen printed, embroidered, relabeled, washed, dyed, embellished, etc.), the customer cannot return or make any claims/exchanges.
Product claims must be made within 14 days of receipt of goods. Goods must be returned in original condition and accompanied by a copy of the original packing list. Returns will only be accepted with prior authorization. Customer is responsible for all return freight charges. Samples and items on special/clearance are non-returnable. Returned goods may be subject to a 15% restocking fee.
Once your return is received and inspected by our warehouse return department, we will process your refund and automatically apply a credit to the original form of payment. Please allow 5-7 business days for processing.
Product Testing / Performance
Customers must inspect and conduct their own testing on all products prior to purchasing or decorating in bulk.
Most of our products are dischargeable. Customers are encouraged to test samples prior to proceeding with production. Due to various mechanical procedures, environment and/or chemicals used, results could differ. This is considered normal.
All of our products come with a tear away tag and have care instructions. Care instructions for each product may vary so please check the neck label for accurate information.
True Knits may make updates to garment specifications to keep with current evolving styles. Current inventory may include a balance of garments from a previous specification. We follow and ship by first in, first out practice.
Product Warranty
True Knits Apparel does not make, and hereby disclaims, any and all warranties, express or implied, including without limitation any warranties of merchantability or fitness for a particular purpose.
Limitation of Liability
True Knits Apparel is not liable to the customer for any loss of profit, interruption of business, or any special, indirect, consequential or incidental damages arising in contract (including breach of warranty), in tort (including strict liability or negligence) or otherwise, even if True Knits has been notified or otherwise made aware of the possibility of such damages.
Force Majeure
True Knits Apparel shall not be liable for any failure or delay in delivery or in its performance under these terms and conditions or otherwise due to any cause beyond True Knits Apparel's reasonable control, including, without limitation, any act of war or civil insurrection, national emergencies, acts of God, fire, explosion, storm, earthquake, flood, embargo, riots, sabotage, industry-wide strikes, lockouts, labor difficulties, supplier failures, unavailability or shortages of materials, or governmental acts (collectively, "Force Majeure").
Where any product scheduled for delivery becomes unavailable as a result of a force majeure event, True Knits may, at its sole discretion, substitute such product with a comparable product.
General
All purchases and sales of True Knits Apparel's products to customers shall be made solely on these terms and conditions. These terms and conditions shall be applicable in full to all such purchases and sales. All terms and conditions contained in any purchase order or similar order form from customer are hereby rejected by True Knits Apparel in all respects.
Any modification, supplement, or amendment of these terms and conditions shall be made in writing by True Knits Apparel authorized management representative only.
Acceptance of these terms and conditions shall be confirmed by electronic signature, or acceptance when registering an account on the True Knits Apparel website.
These terms and conditions and True Knits Apparel's invoice contain the entire agreement between True Knits Apparel and the customer, and supersede all previous contracts or agreements between True Knits Apparel and customer.
Customer agrees that True Knits Apparel is not bound by any representation, promise, condition, inducement or warranty, express or implied, not included above.
